Foreign entrepreneurs prefer limited liability company registration Tunisia (LLC) as corporate structure though there are many ways to do business in Tunisia. Setting up a representative office is a better option for the foreign investors in the Tunisian markets. It will be better for them to follow the representative office setting up process if they have no intention to conduct any commercial or productive operations. The investors must submit a copy of a declaration, a copy of the board minutes designating the general manager of the Limited Liability Company and the company must also provide 10 copies of the articles of incorporation.

When the company will generate less than 30% of turnover in the local market, it will be considered as an export company. If the company is capable for incentives according to the Investment Incentives Code, the registration will be filed at the one-stop shop with free of charge.

A signature form which will be printed, a registered copy of the articles of association, a copy of the minutes of the nomination of the managers, the national identity cards of the managers where a copy of passport for the foreigners, a copy of the rent agreement which is also called the certificate of the ownership, administrative authorization, a copy of the APII declaration and bank receipt will be required to file with the declaration of existence. To complete the whole process, 1 day will be required and no additional charge will not be required to deposit to the certain authority.

To facilitate a company in the registration process, implementation of Tunisian law calls “One stop Shop” is necessary. The publicly traded company should submit the Draft Articles of Incorporation. The investors should bear in mind that the terms and conditions of the Articles of Incorporation (AOI) must be translated into Arabic and draft statutes should be submitted to the Trade Court Clerk.Investors must file the receipt of payment for the notice in the Official Gazette. Pre-incorporation notice should be publicized for the publicly traded companies in the Official Journal of the Republic of Tunisia (JORT). Investors should publicize the notice using both of French and Arabic language.

Capital and Payment Schedule should be subscribed through the Tax Control desk. A copy of each subscription bulletin, 10 copies of the statutes which are signed by the stockholders, a copy of the attestation, fiscal stamp for which the denomination will be required TND 15, these documents should be submitted to the certain authority and maximum 24 hours will be required to complete the total process. Tax Identification Card and the existence of the Company should be declared through filling out a form.  A copy of the declaration of intention to invest,10 copies of the articles of incorporation and the list of subscribers which will also be 10 copies should be provided to the Tax Inspection desk. The two signed forms should be submitted by the investors to the Trade Register and the forms will be signed by the appointed Chairman or his agent, two registered copies of the articles of incorporation, two copies of the tax identification card, and a TD 15 stamp should also be submitted.
